Terms of Service

These terms govern access to and use of Celero Software's website and product (the "Service"), provided by Celero Software ("Celero", "we", "us"). By accessing the Service, you agree to these terms on behalf of yourself and, if applicable, your organisation.
1. The service
Celero provides financial reporting and analytics software to business customers. Access to the product is subject to a separate order or subscription agreement with your organisation, which these terms supplement.
2. Accounts
You're responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorised use.
3. Acceptable use
You agree not to misuse the Service, including attempting to gain unauthorised access, interfering with its operation, or using it to store or transmit unlawful content. We may suspend access for use that breaches these terms.
4. Customer data
Your organisation retains ownership of the business data connected to or entered into the Service. We process that data solely to provide the Service, as described in our Privacy Policy.
5. Intellectual property
Celero and its licensors retain all rights, title and interest in the Service, including software, design and branding. These terms don't grant you any rights to our intellectual property beyond the right to use the Service as intended.
6. Fees
Where the Service is provided on a paid basis, fees and payment terms are set out in your order or subscription agreement. Fees are non-refundable except as required by law or expressly agreed.
7. Disclaimers
The Service is provided "as is". While we work to keep it accurate and available, we don't warrant that it will be error-free or uninterrupted, and outputs should be reviewed as part of your own decision-making process.
8. Limitation of liability
To the extent permitted by law, Celero isn't liable for indirect, incidental or consequential damages arising from use of the Service. Our total liability is limited as set out in your order or subscription agreement.
9. Termination
We may suspend or terminate access to the Service for breach of these terms. Either party may terminate as set out in the applicable order or subscription agreement.
10. Governing law
These terms are governed by the laws of Australia, without regard to conflict-of-law principles.
11. Changes to these terms
We may update these terms from time to time. We'll post the revised version here with an updated date. Material changes will be communicated to account holders directly.
